1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and LightGate Solutions Ltd ("LGS", "we", "our", or "us"), a company registered in Nigeria (RC 8524084). By accessing or using our website, products, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use our services.

2. Services Provided

LGS provides technology services, digital transformation solutions, AI integration services, and business management systems. Our services include but are not limited to:

• IT services and infrastructure design
• Cloud migration and management
• AI-powered solutions and machine learning integration
• Security audits and compliance services
• Digital transformation programmes
• Business management systems (CAVE)

3. User Obligations

When using our services, you agree to:

• Provide accurate and complete information when requested
• Use our services only for lawful purposes and in accordance with these Terms
• Not attempt to gain unauthorised access to our systems or networks
• Not use our services to transmit harmful code, viruses, or malicious software
• Maintain the confidentiality of any credentials or access information provided to you
• Comply with all applicable local, national, and international laws and regulations

4. Intellectual Property Rights

All content, software, technology, designs, trademarks, and other intellectual property associated with our services are owned by or licensed to LightGate Solutions Ltd. This includes but is not limited to:

• Proprietary software and algorithms
• AI models and machine learning systems
• Documentation and training materials
• Website content and design
• Logos, trademarks, and branding

You may not reproduce, distribute, modify, or create derivative works from our intellectual property without express written permission.

5. Service Level and Availability

While we strive to provide reliable and uninterrupted services, we do not guarantee that our services will be available at all times or error-free. We reserve the right to:

• Modify, suspend, or discontinue services temporarily or permanently
• Perform scheduled maintenance with reasonable notice
• Update or change service features and functionality

Service level agreements (SLAs) for specific services will be outlined in separate service agreements.

6. Payment Terms

Payment terms for our services will be specified in individual service agreements or proposals. Unless otherwise agreed:

• All fees are quoted in the agreed currency and include VAT where applicable
• Payment is due within 30 days of invoice date
• We reserve the right to suspend services for non-payment

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation survives the termination of our agreement.

Confidential information does not include information that is publicly available, already known to the receiving party, or independently developed.

8. Data Protection and Privacy

We process personal data in accordance with our Privacy Notice and applicable data protection laws, including the Nigeria Data Protection Regulation (NDPR) 2019. Please refer to our Privacy Notice for detailed information on how we handle your data.

9. Limitation of Liability

To the maximum extent permitted by law, LightGate Solutions Ltd shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from third-party services or integrations
• Events beyond our reasonable control (force majeure)

Our total liability in any matter arising from these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless LightGate Solutions Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for:

• Violation of these Terms
• Non-payment of fees
• Suspected fraudulent or illegal activity
• Any reason at our sole discretion

Upon termination, you must cease all use of our services and return or destroy any confidential information.

12. Warranties and Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• Services will meet your specific requirements
• Services will be uninterrupted, timely, or error-free
• Results obtained will be accurate or reliable
• Defects will be corrected

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

Both parties agree to first attempt to resolve disputes through good faith negotiations before pursuing legal action.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms. We will notify you of material changes via email or prominent notice on our website.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
